Shareholders have different rights including the right to the oppression remedy. The oppression remedy is commonly referred to as the ‘broadest’ shareholder remedy in the common law world. The Court has wide jurisdiction to address grievances of a shareholder, including ordering compensation, compelling purchase/sale of shares, compelling a certain action, etc…

At law, directors and officers have special duties to their corporations including a fiduciary duty and the duty of care. This means, among other things that directors have a duty to act honestly and in good faith towards the corporation, a duty to avoid conflicts of interest with the corporation and a duty not to abuse their position to gain personal benefit.
